Key Responsibilities:
• Draft and review a range of corporate documents, including operating agreements, shareholder agreements, and contracts
• Conduct legal research on complex corporate and commercial issues
• Represent clients in negotiations, transactions, and closings
• Collaborate with internal teams and legal staff on business structuring and compliance strategies
• Provide counsel on entity formation, governance, and regulatory issues

Qualifications:
• 5–7 years of experience handling corporate matters and transactional work
• Juris Doctor (JD) from an accredited law school
• Licensed to practice law in New York (or eligible to waive in)
• Strong track record managing deal flow and client relationships
• Excellent analytical, drafting, and problem-solving abilities
• Clear, persuasive communication skills, both verbal and written
